Capital formation
ESPE Capital
For real projects.
For the people behind them.
Capital for the project.
Value beyond the raise.
We help structure investment in real-world projects—and connect those projects with the communities that support them.
Discuss your project
01 / The starting point
The project comes first.
Not the token.
A production needs commitments before opening night. A business needs a credible plan before it can raise capital. We begin with the people delivering the project, the value it creates and the rights an investment can provide.
Investment structuring and community-led commercial development address different needs. Connecting them makes the model more useful—not the rights interchangeable.
02 / The operating model
The architecture
of an opportunity.
One real project. Capital gives it structure. Community creates opportunities around it.
The real project
Start with the substance.
The operator, budget, delivery plan and revenue sources come first. Live entertainment is our initial application: a production with an audience, a timetable and a funding need.
Investment structure
Give capital a defined role.
A project-specific fund defines the investment. Its documents establish the rights, risks and terms; the investment token represents an interest in that fund—not ownership of the venue.
Community-led development
Look beyond the initial raise.
Through the wider ecosystem, curated experiences and community participation can create additional commercial opportunities around a project. Any revenue-sharing arrangement depends on the project’s contracts.
The connected model
One project. Distinct rights.
Capital formation and commercial development support the same project in different ways. An eligible investor holds a defined investment interest. An audience member buys an experience. One does not automatically become the other.
An investment interest is not an experience benefit. Each is governed by its own terms.
03 / In practice
Real projects.
A public record.
Live entertainment is the first application of the model. These records show specific structures, partnerships and transactions—not projected returns or a claim that every capability is fully deployed.

HONG KONG / THEATRE IP
A cultural project.
A new financing route.
Esperanza announced that a fund it manages participated in co-presenting The Big Big Day, a theatre IP project produced by One Cool Stage. The announcement records a signed cooperation arrangement.
A documented partnership around a real production. Not a statement of investment performance or community-derived returns.

04 / The commercial model
The work behind
the opportunity.
Two complementary areas of work, delivered through the relevant Group businesses and project partners.
Structure the capital.
For project owners and eligible investors.
The work
- Understand the business case and funding need.
- Define the fund structure, commercial rights and risks.
- Support investor access under the applicable terms.
The deliverable
A defined investment structure.
Investment records identify Esperanza Fintech (Securities) Limited as the fund manager.
Develop participation.
For project partners and their audiences.
The work
- Connect the project with its community.
- Develop curated experiences around the core event.
- Define commercial and revenue-sharing arrangements where agreed.
The deliverable
Project-specific experiences.
Experiences are not investments. Scope and economics depend on the actual project contracts.
The relevant agreements define service responsibilities, fees and any revenue-sharing arrangements. Scope varies by project. Documented production and investment activity is distinct from wider community and settlement capabilities under development.
05 / A clear foundation
Understand
the distinction.
Entities and permissionsWho can invest?
Investment access is for eligible Professional Investors, subject to verification, jurisdiction and the relevant offering documents. Participation in an experience does not confer an investment interest.
What does an investment token represent?
Each Investment Token corresponds to the interest of a special-purpose investment fund. The fund’s documents—not the token illustration—define the investor’s economic rights, risks and obligations.
What about returns and secondary trading?
Investment involves risk, including loss of capital. Returns are not guaranteed. Permitted secondary transactions depend on product rules, available counterparties and execution; a buyer or an exit is not assured.
Who is responsible for the investment structure?
The published investment records identify Esperanza Fintech (Securities) Limited (SFC CE No. BAO325) as the fund manager. Permissions apply to the named entity and specified activities, not every Group business or product.
